These Terms of Use ("Terms") govern your access to and use of this website, greenbarsystems.com, and the GreenBar desktop finance tools we make available (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

GreenBar Systems builds AI-assisted tools for finance operations. Some tools are in active development, are described as "coming soon," or are otherwise not yet generally available. Descriptions of planned tools and features are provided for information only and may change; nothing on the site is a guarantee that a given tool, feature, or release date will be delivered.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the GreenBar desktop tools for your own internal business or personal finance purposes. You may not:

• Copy, resell, sublicense, rent, or redistribute the software except as expressly permitted;
• Reverse engineer, decompile, or attempt to derive source code, except to the extent the law permits despite this limitation;
• Remove or alter any proprietary notices; or
• Use the Services to build a competing product.

You agree not to use the Services to:

• Violate any law or the rights of others;
• Attempt to gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services; or
• Introduce malware or otherwise misuse the website or its forms.

If you join a waitlist, you consent to receive email about the specific tool you signed up for. You can opt out at any time by contacting support@greenbarsystems.com. Your information is handled as described in our Privacy Policy.

The GreenBar tools process your financial data on your own computer by default. You are responsible for the accuracy of the data you load, for maintaining backups, and for reviewing the tools' output before relying on it. The tools assist with mechanical work; they do not replace professional judgment, and a person remains responsible for every decision and sign-off.

The Services are not accounting, tax, audit, investment, or legal advice. You are solely responsible for your own financial and compliance decisions.

The Services, including all software, text, graphics, logos, and design, are owned by GreenBar Systems or its licensors and are protected by intellectual property laws. Except for the license granted above, these Terms do not transfer any right, title, or interest in the Services to you.

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any result obtained will be accurate or reliable.

To the maximum extent permitted by law, GreenBar Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim or USD 100.

You agree to indemnify and hold harmless GreenBar Systems from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Services or your violation of these Terms or applicable law.

We may modify or discontinue the Services, in whole or in part, at any time. We may also update these Terms; when we do, we will revise the Effective Date above. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that may be brought in court will be the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.
